Effective date: October 23, 2026
These terms apply to your use of ironwoodoperationsgroup.com and to the services provided by Ironwood Operations Group LLC ("Ironwood," "we," "us"), including accounting and CFO support, AI and automation work, marketing, HomeFlow Pro, and Ironwood Ledger. If you have a written agreement or engagement letter with us and it conflicts with these terms, the written agreement controls.
1. Services
We provide the services described in your agreement or proposal. We may improve or change how we deliver them.
2. Ironwood Ledger and your authorization
Ironwood Ledger lets us connect to your QuickBooks Online company. By connecting, you confirm that you are authorized to do so and you authorize us to access the data described in our Privacy Policy to provide your services. We change records in QuickBooks only after the change is approved. You can revoke our access at any time through your Intuit account or by telling us. Ironwood Ledger is not affiliated with or endorsed by Intuit. QuickBooks and Intuit are trademarks of Intuit Inc.
3. Your responsibilities
You agree to give us accurate and timely information, keep your account credentials secure, review the reports and records we deliver, and stay responsible for your own books, tax filings and legal compliance. You must not misuse our website or services, including by attempting to disrupt or gain unauthorized access to them.
4. Reports and automation
Our reports are prepared from the information you provide or authorize us to access, and some work uses automation and AI to assist. We review work before delivery, but you should review reports before relying on them. Unless a written agreement says otherwise, our services do not include tax preparation, legal advice, audit or other attest services, or investment advice.
5. Fees
Fees and payment terms are set out in your agreement or proposal. Fees are non-refundable once work is performed, unless the agreement says otherwise.
6. Confidentiality and data
We treat your business information as confidential and handle personal information as described in our Privacy Policy. You keep ownership of your data and records.
7. Intellectual property
We keep ownership of our software, tools, templates and methods. When you pay for a deliverable, you receive a right to use it for your business.
8. Third-party services
Our services depend on third parties such as Intuit and cloud providers. Their terms apply to your use of their products, and we are not responsible for their outages, changes or errors.
9. Disclaimers
To the fullest extent the law allows, our website and services are provided "as is" and "as available," and we disclaim all warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the fullest extent the law allows, Ironwood will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to our services will not exceed the fees you paid us for the services in the three months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
11. Termination
Either of us may end the services as set out in the agreement, or on 30 days' written notice if the agreement does not say. When services end, we disconnect from your QuickBooks company and handle your data as described in our Privacy Policy.
12. Governing law
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Cherokee County, Texas.
13. Changes
We may update these terms. The effective date shows when they last changed. Continued use of our website or services after a change means you accept the updated terms.
